1. Agreement to Terms

By accessing and using the UiUxHaus website and services, you accept and agree to be bound by these Terms of Service and our Privacy Policy. If you do not agree to these terms, you must not use our services.

These Terms constitute a legally binding agreement between you ("User," "you," or "your") and UiUxHaus ("Company," "we," "us," or "our").

2. Services Description

UiUxHaus provides digital agency services including but not limited to:

• Brand Strategy & Identity Design
• Web Design & Development
• Mobile Application Development
• Digital Marketing Services
• Motion Design & Video Production
• UI/UX Design Consulting

The specific scope of services for each project will be detailed in a separate project agreement or statement of work.

3. Client Obligations

As a client of UiUxHaus, you agree to:

• Provide accurate and complete information required for project completion
• Respond to requests for feedback and approvals in a timely manner
• Ensure you have the rights to any content or materials you provide
• Make payments according to the agreed-upon schedule
• Communicate any changes to project requirements promptly

4. Intellectual Property

Our Intellectual Property

All content on this website, including text, graphics, logos, icons, images, and software, is the property of UiUxHaus and is protected by copyright and other intellectual property laws.

Project Deliverables

Upon full payment of all fees, clients will receive the intellectual property rights to the final deliverables as specified in the project agreement. UiUxHaus retains the right to:

• Display completed work in our portfolio and marketing materials
• Retain ownership of any pre-existing materials, frameworks, or tools used
• Use general knowledge and techniques developed during the project

5. Payment Terms

Payment terms will be specified in individual project agreements. Generally:

• A deposit is required before project commencement
• Milestone payments may be required for larger projects
• Final payment is due upon project completion
• Late payments may incur additional fees
• We accept payment via bank transfer, credit card, or approved payment platforms

6. Project Timeline & Revisions

Project timelines are estimates based on scope and client cooperation. Delays caused by the following may extend the timeline:

• Late feedback or approvals from the client
• Changes to project scope or requirements
• Delays in receiving required content or materials

Each project includes a specified number of revision rounds. Additional revisions beyond this scope may incur extra charges.

7. Limitation of Liability

To the maximum extent permitted by law:

• UiUxHaus shall not be liable for any indirect, incidental, special, consequential, or punitive damages
• Our total liability shall not exceed the fees paid by you for the specific service giving rise to the claim
• We are not responsible for delays or failures due to circumstances beyond our reasonable control

8. Confidentiality

Both parties agree to keep confidential any proprietary information disclosed during the course of the engagement. This includes:

• Business strategies and plans
• Technical specifications and processes
• Financial information
• Customer data and lists

This obligation survives the termination of any agreement between the parties.

9. Termination

Either party may terminate a project under the following conditions:

• Mutual written agreement
• Material breach of the agreement (with 30 days notice to cure)
• Insolvency or bankruptcy of either party

Upon termination, the client is responsible for payment of all work completed to date. Completed deliverables will be released upon receipt of payment.

10. Indemnification

You agree to indemnify and hold harmless UiUxHaus, its officers, directors, employees, and agents from any claims, damages, losses, or expenses arising from:

• Your breach of these Terms
• Your violation of any third-party rights
• Any content or materials you provide
• Your unauthorized use of our services

11. Dispute Resolution

Any disputes arising from these Terms or our services shall be:

• First attempted to be resolved through good-faith negotiation
• If unresolved, submitted to mediation
• If mediation fails, submitted to binding arbitration

These Terms shall be governed by the laws of the State of New York, without regard to conflict of law principles.

12. Changes to Terms

We reserve the right to modify these Terms at any time. Changes will be effective upon posting to this page. Continued use of our services after changes constitutes acceptance of the modified Terms.
